About the Role


As the Director - Corporate Development and US M&A, your role will be in Brooklyn, NY and will support origination, evaluation, structuring, execution and approval of US M&A transactions. The role covers potential transactions in support of National Grid Ventures - NGV in the US (the business unit responsible for new business development outside of the regulated core), as well as US regulated utility business evolution. The role is also responsible for partnering with the US NGV P&L leads in evaluation and commercial execution of business development and other investment opportunities. Finally, the role will also support serving as an analytical partner to the Group Strategy function.

What You'll Do


Corporate Development and US M&A

  • The team originate, evaluate and execute both buy-side (mergers and acquisitions) and sell-side (disposal) opportunities, to support the Group's strategy
  • Origination of US M&A investment opportunities through the investment banking network and engagement across business / investor communities
  • Evaluation of target businesses for acquisition from quantitative and qualitative / strategic perspective, including the development and review of financial models, design and structuring of transactions, and the assessment of the transaction impact on the National Grid group
  • Execution through the due diligence, bid, negotiation and approval phases include interfacing with a broader team including internal and external legal specialists, accountants, technical and other experts as needed

Partner the NGV P&L leads - work with the US NGV Team to support development, evaluation, and commercial execution of investment opportunities, including financial modelling and preparation of investment cases for key internal approvals

Partner the Group Strategy function - Support team's role in partnering with Group Strategy on major analytical exercises, e.g. in relation to (a) Portfolio Analysis - the evaluation of continued ownership and investment versus exit from a line of business, (b) evaluation of strategic alternatives

Role supports VP of Corporate Development and US M&A

  • Interfacing with external advisors including Investment Banks and specialist internal contributors (e.g., Financial Control, Treasury, Group Tax) as necessary
  • Research and analysis, synthesizing data and developing insights and strategic recommendations
  • Market scanning and intelligence - broad review of key industry events and developing views around implications for National Grid
  • Preparation of presentations and board papers for Group exec, National Grid Board and senior stakeholders
  • Reporting of progress against key milestones, issues, opportunities and risks to the relevant governance body for the deal
  • Supporting due diligence efforts including coordination of relevant subject matter experts, developing data rooms and managing diligence requests
What You'll Need

  • Familiarity with creating presentations tailored to the intended audience
  • Ability to create and review models relating to valuation, merger consequences and credit analysis
  • Comfort with financial accounting / corporate finance
  • In-depth industry knowledge (regulated utilities, other regulated assets and related businesses e.g. renewables, clean tech etc.)
  • Proven track record of building and sustaining solid business relationships with senior internal and external stakeholders
  • Ability to lead and drive projects including leadership of both direct and indirect resources such as consultants, advisors with many spanning various areas of expertise (e.g. legal, commercial, technical, financial etc.)
  • Strong team player working collaboratively across the organisation
  • Excellent communications skills (presentation, written and verbal); ability to summarise complex issues and transactions and ability to clearly articulate and present opportunities to senior stakeholders
  • Experience in leading and developing teams; foster an open and inclusive environment, support colleagues in their own development, and the wider development and training of team across the company

Essential:

  • Bachelor's degree or six or more years of experience
  • Eight or more years of relevant work experience

Desirable:

  • MBA with at least three years of experience post MBA in corporate M&A, corporate strategy, investment banking, investment management, financial advisory or strategic consulting roles
  • Two to three years experience in Utilities
  • Exposure to transaction and investment structuring is desirable

Annual Salary

$216,000-$254,000

Salary commensurate with experience.

This position has a career path which provides for advancement opportunities within and across bands as you develop and evolve in the position; gaining experience, expertise and acquiring and applying technical skills.
