Illinois Tool Works Inc. is seeking a well-organized and highly motivated Corporate Paralegal with knowledge of corporate and general law to be responsible for subsidiary governance and other related projects.

Key Responsibilities:

This role provides paralegal support primarily to ITW’s corporate functions, business units, and the Chief Governance Counsel & Assistant Secretary. Under the supervision of the Corporate Paralegal Supervisor, the Corporate Paralegal will:

  • Organize and maintain corporate minute books, records, and files and maintain Company’s subsidiary management database

  • Assist with drafting and filing of corporate formations, qualifications, amendments, withdrawals, mergers and dissolutions

  • Track board of director changes for U.S. and International subsidiaries and assist with preparation and filing of changes with commercial register

  • Respond to KYC and UBO requests for internal and external partners and provide appropriate supporting documentation

  • Draft certifications, affidavits, incumbencies, and powers of attorney and obtain legalizations, apostilles

  • Assist with internal subsidiary restructurings (including review and proper execution of related agreements, resolutions and certifications) for U.S. and International subsidiaries

  • Provide support for mergers, acquisitions, and divestitures (including due diligence of entities’ corporate histories and timely and proper execution of deal documents)

  • Assist with annual entity health check process including updating of entity management database

  • Deliver accurate and complete results within set timeframes

  • Four Year Degree or equivalent/related experience

  • Paralegal certificate from an ABA accredited institution preferred

  • 2-4 years’ experience in a corporate legal department, law firm or related experience

  • Experience in entity management, subsidiary governance and database management (hCue preferred)

  • Proficiency with Microsoft Suite; ability to learn other software programs quickly

  • Strong communication, organizational, and critical thinking skills

  • Ability to multi-task and prioritize work to meet applicable deadlines

  • Ability to exercise discretion and maintain confidentiality of sensitive information

  • Self-motivated; ability to work both (i) independently to complete tasks and respond to department requests and (ii) with others to leverage their resources

  • Ability to be onsite at the Glenview corporate campus 5 days/week with flexible hours
