Position overview:

We are seeking a Legal Counsel to join us in the APAC legal team, and to be seated in Jakarta, Indonesia. As Legal Counsel, you will play a crucial role in providing legal support and guidance to our business operations in Indonesia, ensuring compliance with all relevant laws and regulations, and maintaining and enforcing ethical conduct.

This is an individual contributor role, reporting to the Legal & Business Ethics Director, APAC.

Qualifications/Requirements:

  • At least a Bachelor’s Degree in Law from a reputable university, and admitted to practise law in Indonesia.

  • Professional experience of 4-6 years gained in a top-tier law practice with a focus on commercial and corporate law and/or in-house in a multinational organisation with operations in Indonesia.

  • Ability to work independently and proactively, but also as part of a motivated team.

  • Strong knowledge of Indonesian laws and regulations.

  • Experience in dealing with various government agencies, such as licensing agencies, tax/customs authorities.

  • Experience in Business Ethics and corporate secretarial matters.

  • Attention to detail, while also adopting a practical, flexible and hands-on approach towards your work.

  • Strong drafting, negotiation and communication skills.

  • Proficiency in Bahasa Indonesia and English, both written and verbal.

    Key Responsibilities

  • Provide timely and commercially- and legally-sound legal advice and support to various functions within the company, including Commercial, Procurement, Manufacturing, Supply Chain and Human Resources, and working in close collaboration with such functions.

  • Communicate, implement, influence, drive and maintain good corporate governance practices, including compliance with the dsm-firmenich Code of Business Ethics, other dsm-firmenich policies and processes, and to assist in local investigations as necessary.

  • Draft, review and and negotiate a wide range of commercial contracts, such as non-disclosure agreements, sales agreements, distribution contracts, service procurement contracts, raw material procurement contracts, etc.

  • Dealing and communicating with various government agencies, officials and stakeholders.

  • Manage legal disputes and litigation matters.

  • Manage all corporate secretarial affairs of the company and its affiliates in Indonesia, including to update the entity management system as necessary.

  • Collaborate with outside counsel and other external advisors/consultants as necessary.

  • Any other customary role/responsibility.
