Brown-Forman Senior Director of Compliance in Louisville, Kentucky

Meaningful Work From Day One:

The Director of Compliance is responsible for the continued development, implementation, and

enforcement of the Brown-Forman corporate compliance program, which promotes employees to “live

our values” and prevents and addresses illegal, unethical, or improper conduct. This position sets the

corporate compliance strategy, while serving as the primary ambassador for compliant behavior and

overseeing all compliance matters. This position also engages with Executive and Business leaders to drive

“Tone at the Top”, manages whistleblower escalations, and conducts confidential investigations.

What You Can Expect:

  • Be the recognized Leader for the compliance program.

  • Chair Code of Conduct Compliance Subject Matter Experts team that is responsible for Company’s

  • Code of Conduct.

  • Lead in the creation of policies, processes and procedures in respect of the Company’s Code of

  • Conduct and compliance program.

  • Ensure that applicable policies and procedures are comprehensive, robust, and current, reflecting

  • the organization’s evolving business policies, processes and risks.

  • Lead the global communication plan for policies and procedures related to compliance.

  • Oversee and provide company-wide training on relevant compliance topics, in cooperation with

  • internal resources (HR, internal training group and subject matter experts).

  • Conduct risk assessments and identify potential areas of compliance vulnerability and risk; develop

  • and implement corrective action plans for resolution of problematic issues and provide guidance

  • on how to avoid or deal with similar situations in the future.

  • Serve as an integrated business advisor to execute the process for the conduct and oversight of due

  • diligence investigations of red flags within Brown-Forman’s business transactions by collaborating

  • with the business to proactively determine risks and mitigate those risks.

  • Execute the process for the conduct and oversight of due diligence investigations of third parties

  • with which the Company does or may seek to do business. Advise with respect to

  • compliance-related issues in written agreements with third parties. Oversee vendor compliance

  • audits.

  • Lead in the creation, maintenance, and communication of policies to encourage employees to

  • identify wrongdoing of which they are aware, including policies to ensure that such employees do

  • not experience retaliation.

  • Lead the development and administration of global processes and protocols for investigating and,

  • where necessary, addressing alleged violations of the Code of Conduct. Work with and clarify the

  • roles and responsibilities of other corporate functions in conducting investigations and addressing

  • Code violations (Finance, Internal Audit, Human Resources, Regional management, and others as

  • necessary.)

  • Provide reports on a regular basis, and as directed or requested, to keep senior management, the

  • Audit Committee of the Board, and the full Board of Directors informed of the operation and

  • progress of compliance efforts.

  • Monitor the performance of the compliance program on a continuous basis and take appropriate

  • steps to improve its effectiveness. Assess the adequacy of staffing and other resources devoted to

  • compliance.

  • Ensure personal continued development to stay current on compliance trends via continued

  • education, benchmarking, or networking.

What You Bring to the Table:

  • Experience: A minimum of 10 years of applicable experience

  • Education: Juris Doctor from a top-ranked law school

  • Concentration in compliance, litigation, investigation, or prosecution.

  • In-house experience implementing and advising in respect of the compliance program at a

  • publicly-listed company doing business multi-nationally, including in emerging markets.

  • Ability to develop an innovative, positive approach to compliance matters in support of strategic

  • business initiatives and objectives.

  • Persuasive presentation, interpersonal, and counseling skills.

  • Excellent written and oral communication skills

  • Ability to work with minimal supervision and to prioritize conflicting demands

  • Demonstrated ability to develop creative solutions that engrain a robust compliance environment

  • in the Company culture while understanding and taking account of business goals and objectives.

  • Knowledge of, or willingness to learn and develop expertise related to, the beverage alcohol

  • industry.

  • Project management experience; ability to supervise and manage outside counsel relationships.

  • Experience working with diverse populations.

What Makes You Unique

  • Former US Department of Justice or SEC enforcement experience

  • Experience in anti-corruption compliance, including the FCPA and the UK Bribery Act

  • Experience working outside the United States, including in emerging markets.
