Mid-level Associate -Corporate Mergers, Acquisitions, and Private Equity (White & Case LLP, New York, NY)Advise and represent a diverse clientele comprising public and private companies, private equity funds, financial sponsors, portfolio companies, and strategic buyers and sellers in comprehensive domestic and cross-border mergers and acquisitions ("M&A") transactions, encompassing joint ventures and divestitures. Draft, review and negotiate bespoke transactional documents customized to the transaction type and client needs leveraging sufficient subject-matter expertise to properly assess and mitigate regulatory, industry, and/or sector risks and considerations. Lead due diligence processes for complex transactions, encompassing the review and analysis of material contracts to identify key issues and terms in the documents critical to the matter, preparation of initial request lists, and coordination of all due diligence activities including running representation and warranty insurance calls and preparation of due diligence memoranda, disclosure schedules, and issues lists. Manage the full transaction lifecycle from inception through closing, including structuring, due diligence, and the drafting and negotiation of primary and ancillary transaction documents, overseeing the creation and maintenance of closing checklists, compiling executed closing documents, facilitating client service and engagement, and overseeing the delegation of work to junior associates and readying their work product for Partner, opposing counsel, and client receipt. Conduct in-depth research and analysis of laws, SEC proposed rules, and other relevant sources related to ongoing transactions. Provide ongoing strategic advisement and legal guidance to clients on post-closing matters and general corporate governance issues. Undertake ongoing legal management and advisory work for key clients including maintaining director and officer charts, updating structure charts, and drafting and reviewing letters of intent, non-reliance letters, and non-disclosure and clean team agreements. Prepare and coordinate the delivery of proactive, strategic communications to clients, opposing counsel, auditors, insurers, third-party advisors, and all stakeholders on corporate transactions. Prepare team members and internal stakeholders for client meetings, delivering substantive contributions to ongoing discussions, deal strategy considerations, and identifying and pursuing business development opportunities. Manage and mentor Junior Associates, Legal Assistants, and non-attorney timekeepers throughout each transaction, offering guidance and contextual advisement specific to the client and/or the matter and ensuring the deal team grasps the broader transactional landscape and their roles within that space. Review and refine all draft work prepared by junior team members, including transaction documents and diligence reports, readying all content, communication, and presentations for Partner and client use. Manage drafting of ancillary documents and resolutions, including following up on delegation and ensure successful end-product. Ensure work is allocated evenly to team members and reallocate work as appropriate to maintain efficiency. Telecommuting may be permitted up to 2 days per week. When not telecommuting, must report to White & Case, LLP, 1221 Avenue of the Americas, New York, NY 10020. Salary: $365,000 - $390,000/year.Minimum Requirements: J.D., LL.M., or U.S. equivalent in law plus 3 years of professional experience as an Attorney, Associate, Law Clerk, or related occupation/position/title involving providing legal advice to corporate clients regarding domestic and cross border mergers & acquisitions at an international law firm.Must also have experience with the following special skills: 3 years of professional experience drafting, refining, and negotiating various transactional documents for public M&A transactions, private M&A, equity financing, and private equity transactions, including adjustments to existing shareholders agreements, limited liability company agreements, partnership agreements and other joint venture and corporate governance-related documentation, merger agreements, stock and securities purchase agreements, asset purchase and sale agreements, prospectuses and other offering documents and memoranda, along with related schedules, exhibits and ancillary agreements, including non-disclosure agreements, exclusivity agreements, restrictive covenant agreements, rollover agreements, subscription agreements, contribution and distribution agreements, escrow agreements, transition services agreements, letters of intent, engagement letters, and term sheets; 3 years of professional experience providing strategic legal advice on domestic and cross-border and international mid-market (over $100 million) M&A acquisitions transactions, carve-out transactions, take-private transactions, distressed M&A, private equity transactions, equity financing matters, and start-ups, joint ventures and corporate governance and public advisory matters including managing transaction processes, acting as day-to-day point of contact for client on due diligence matters, and overseeing the work product and communications of specialist teams, and local counsel; 3 years of professional experience monitoring, interpreting, and analyzing industry M&A trends, regulatory changes, financials, and landmark deal considerations, to identify nuanced strategic considerations and provide bespoke legal guidance to clients and other key stake-holders related to complex M&A transactions, corporate finance transactions, joint ventures, private equity transactions, and strategic partnerships; and 3 years of professional experience preparing and revising transaction documents for private equity clients and portfolio companies including equity commitment letters, limited guarantees, and incentive award agreements.
