Senior Associate (Americas Capital Markets - Securities) (White & Case LLP, New York, NY)Perform legal drafting, working from a wide variety of material including company board minutes to complex covenant and negotiation documentation. Work within large groups of lawyers and industry professionals and manage the interests of all stakeholders, including leading financial institutions as well as some of the fastest growing companies worldwide. Anticipate clients’ needs and craft creative solutions to their problems. Keep abreast of regulatory changes as well as the wider economic climate and distill complex information into clear, insightful analyses that inform and strengthen the client’s position. Manage multiple workstreams and produce work to meet tight deadlines. Develop and employ knowledge of industries and sectors ranging from complex transnational infrastructure financings to sophisticated solutions for banking institutions. Work with a wide range of high-value capital markets transactions, including equity capital markets transactions, initial public offerings, private placements. Review and analyze legal financial documentation, including drafting registration statement forms and proxy statements in connection with deSPAC transactions for [issuer and target] clients. Represent issuers or underwriters in initial public offerings, public company disclosure obligations, and corporate governance matters. Assist with managing transactions from commencement to completion. Telecommuting may be permitted up to 2 days per week. When not telecommuting, must report to White & Case, LLP at 1221 Avenue of the Americas, New York, NY 10020. Salary: $390,000 - $435,000/year.Minimum Requirements: J.D., LL.M., or U.S. equivalent in law plus 4 years of professional experience as an Attorney, Associate, Law Clerk, or related occupation/position/job title providing legal advice on capital markets and securities matters at an international law firm.Must also have experience with the following special skills: 4 years of professional experience representing issuers, public company disclosure obligations, securities regulation compliance, and corporate governance matters; 4 years of professional experience with Special Purpose Acquisition Company (SPAC) transactions, as well as representing SPACs or target companies in deSPAC transactions; 4 years of professional experience conducting legal research, analyzing and interpreting complex securities laws and regulations, performing due diligence and assisting companies with exchange listings, SEC registration and periodic reportings; 3 years of professional experience representing public companies to conduct shareholder and stockholder meetings and correspond with the Securities Exchange Commission on behalf of clients; 3 years of professional experience working with high-value capital markets transactions, including equity offerings, private placements and tender offers; and 3 years of professional experience training junior associates, coordinating complex deals with technical specialists including auditors, accountants and transfer agents and expert local and international counsel from different practice areas, and supporting transaction management from commencement to completion.
