Clarivate Analytics (US) LLC Deputy Company Secretary in Philadelphia, Pennsylvania

Reference #: 127981-1 We are currently seeking for an exceptional Deputy Secretary with sound company secretary experience to provide solid support to the business. You will work in a dynamic, fast-paced environment and will have the opportunity to lead a team that provides crucial support to the organization.

You will be supporting the company with respect to a broad range of corporate matters, taking primary responsibility for governance efforts through global subsidiary management, transactional matters, and corporate governance matters. Your role will include creation and maintenance of corporate records; executing on company secretary projects; advising on and managing corporate governance activities; building new governance systems and procedures; assisting with all aspects of parent and subsidiary board planning, drafting resolutions, assembling and distributing meeting materials, and minute taking; and collaborating within the Legal department and across business and support functions to address legal and risk issues in a manner consistent with the best interests of the company. You will play a key role in the legal department's collaboration with counterparts in finance, particularly tax, controllership and treasury.

This is a fantastic position offering the successful candidate autonomy and ownership alongside the opportunity to develop and strengthen the company secretary function. This role would suit someone already operating at Deputy Secretary level or a Senior Assistant Secretary seeking that next step up.

About You - experience, education, skills, and accomplishments

A chartered secretary (such as CGI) or qualified lawyer with significant company secretarial experience.

7+ Years' relevant experience.

Strong technical and analytical skills, with the ability to think broadly on issues and apply sound judgement in problem solving.

Passionate about ensuring corporate governance best practice with the ability to identify and drive efficiencies in policies and frameworks.

Excellent written and verbal communication skills, with attention to detail and the ability to deliver complex messages in a simple and creative way.

Thorough understanding of company law, applicable listing and disclosure rules and other corporate governance and compliance matters relevant to a listed company.

Strong project management, planning and organizational skills and the ability to work well under pressure, prioritize effectively and meet deadlines.

Demonstrated experience utilizing technology to maintain corporate books and records and develop efficient processes and procedures.

High energy levels, resilience and ability to work effectively and collaboratively with colleagues at all levels across the organization.

Positive attitude and willingness to go above and beyond to support the team and wider business.

Experience efficiently managing outside counsel.

People management experience is preferred.

What will you be doing in this role?

Demonstrable and wide-ranging knowledge and experience of company secretarial issues.

Offering advice and guidance on corporate governance best practices.

Ensuring compliance with listing, statutory, and regulatory requirements.

Identifying and implementing improvements in company secretarial policy and procedure.

Reviewing subsidiaries with local counsel, regional controllers, and colleagues to ensure accuracy of corporate records.

Preparing and maintaining custody of corporate books and records, approvals, and filings.

Establishing and managing global subsidiary entity information and entity management database.

Preparing a calendar of all regulatory filings and managing all filing requirements globally.

Providing timely responses to requests for information relating to corporate actions and records.

Managing special corporate projects, including new entity formation and entity restructuring.

Mentoring, managing and support ng junior colleagues, facilitating their career development.

About the Team

This role will report to the VP, Deputy General Counsel, Corporate Secretary and Chief Compliance Officer, working alongside two assistant secretariesas well as a wider legal team.

Hours of Work

Permanent, full-time role based out of the London office on a hybrid basis, 2-3 days' per week in the office.
